Terms of Service
Last updated
These terms explain up front how working with us is organised — from the first request to the project handover, including payments, cancellations and refunds. The exact scope, timeline, price and obligations are always set out in the contract we sign with each client.
01 General
1.1These terms describe how Veilvex provides its services: search and AI visibility (SEO and GEO), advertising, social media, website and app development, AI automation, design and branding. They apply to requests, negotiations and projects unless the contract says otherwise.
1.2The main document of our work together is the contract or a proposal you have accepted (the “contract”). Where the contract differs from this page, the contract prevails.
1.3Our contracting party is the company or sole trader named in the contract. We share its legal details before signing.
1.4Veilvex services are intended exclusively for businesses, for commercial and professional purposes (B2B). By submitting a request or paying for services (even if payment is made from a private individual’s personal account), the client confirms that they are acting for business purposes, and consumer protection law does not apply to the relationship between the parties.
1.5If any provision is invalid or unenforceable, the remaining provisions stay in force, and the invalid one is replaced by a valid provision that comes closest to its purpose.
02 Information on the website
2.1The information on this site — service descriptions, case studies, indicative timelines — is for information only and is not a binding offer. We confirm the exact scope, price and timeline after the brief.
2.2The website and its content are provided “as is” and “as available”. We do not warrant that the information is complete, current or error-free, or that the site is available without interruption.
2.3The figures in case studies come from specific projects and do not guarantee the same results in yours.
2.4The texts, design, illustrations and code of this site belong to Veilvex. They may not be copied or used commercially without our written permission; quoting with a link to the source is welcome.
03 Requests, estimates and proposals
3.1A request through the site, a message in a messenger or a brief creates no obligation for either of us.
3.2Estimates and proposals are based on the information from the brief and remain non-binding until a contract is signed. Unless a proposal states otherwise, it is valid for 30 days.
3.3If after the brief the task turns out to be noticeably larger or smaller than described, we will revise the estimate before work begins.
04 How a project runs
4.1The usual sequence:
- Brief — we discuss your business, the task, timeline and budget, and give a preliminary estimate.
- Proposal — we fix the scope of work, stages, deliverables, price and timeline.
- Contract — we sign the contract and, where needed, a non-disclosure agreement (NDA) and a data processing agreement.
- Prepayment — you pay the advance for the first stage in the amount set in the contract; work starts once it arrives.
- Stages — we work stage by stage and show interim results; for advertising, SEO and social media a stage is usually one month with a report.
- Acceptance and revisions — you review each stage, and we make revisions to the extent expressly agreed in the contract or estimate.
- Handover — we hand over the result, source files, access and instructions.
4.2Each side names a contact person who makes decisions on the project. Day-to-day questions, approvals and formal notices can go by email or through Telegram, WhatsApp or the project’s work chat (section 18).
05 Fees and payment
5.1The price, currency, payment terms and deadlines are set out in the contract. Larger projects are split into stages: you pay an advance for each stage and the balance after it is accepted, not the full amount up front.
5.2Third-party costs are not included in the price unless the contract says otherwise: advertising budgets, domains, hosting, paid services and APIs, and licences for fonts, photos and plugins. You pay them directly to the provider or we pass them on at cost. Wherever possible, such services are registered in your name.
5.3Work beyond the agreed scope is estimated separately and starts only after you approve the new estimate and timeline in writing.
5.4If payment is late, we may pause work and withhold handover of results until it arrives; deadlines move by the length of the delay.
5.5Taxes and bank fees are allocated as stated in the contract.
06 Payments, cancellations and refunds
6.1A prepayment reserves our team’s time for your project. Once work on the stage it covers has started, the prepayment is non-refundable.
6.2Fees for stages that have been completed or accepted, and for service periods that have already begun, are non-refundable.
6.3If you cancel a project, you pay for the work done up to the date of cancellation — a stage in progress in proportion to the work completed, but not less than the prepayment for it once work has started — plus third-party costs we have already incurred or committed to on your behalf. Any amount you paid beyond that is refunded.
6.4Advertising budgets and third-party fees (domains, hosting, licences, paid tools and services) are not refunded by us: they are paid directly to the provider or passed on at cost, and any refund is governed by that provider’s terms.
6.5Subscriptions and monthly retainers (for example, ad management, SEO or social media) can be cancelled with effect from the end of the current paid period. The period already started is not refunded, in whole or in part.
6.6Where a refund is due, we make it to the original payment method within a reasonable time, and no later than the law requires.
6.7Please send any payment dispute or refund request to us first — by email to the address published on this website or in your contract or through a messenger (section 18) — and give us 14 days to resolve it before starting a chargeback or payment reversal.
07 Acceptance and revisions
7.1We hand over the result of each stage for your review. You review it within the period set in the contract or, if none is set, within 3 business days.
7.2Please send your comments as one consolidated list — by email or in the project’s work chat. Comments must be reasoned and concern whether the result matches the original brief.
7.3Revision rounds are included in the price only if, and to the extent that, they are expressly set out in the contract or estimate. Any work beyond the expressly agreed scope, and any change to the original inputs, is charged separately (clause 5.3).
7.4If the client sends no reasoned comments within the scope of the original brief during the review period (or, if none is set, within 3 business days), the stage is deemed accepted in full and without reservations. Starting to use the result — publishing the site, launching the ads — also counts as acceptance.
08 Timelines
8.1Stage deadlines are set in the contract and run from the moment the prepayment has arrived and we have the materials and access we need. They are target dates unless the contract expressly calls them binding.
8.2While we wait for materials, answers, access, decisions or payment from you, deadlines move by the waiting time. If the project is on hold for reasons on your side for longer than the contract allows (or, if it says nothing, for more than 30 days), we may invoice the work done so far and resume the project on a new schedule.
09 What we need from you
9.1To keep the project on track, the client:
- provides the materials, information and access needed for the work on time (texts, logos, photos, access to the website, ad accounts and CRM);
- names a contact person and gives feedback within the agreed time;
- holds the rights to everything it gives us (texts, images, trademarks, databases) and has a lawful basis for sharing its customers’ personal data with us where the project needs it;
- is responsible for the accuracy of information about its product, prices and promotions, and for the product and advertising claims complying with the law and platform rules;
- keeps its own backups of websites, accounts and data;
- pays for the work and third-party costs on time.
9.2The client indemnifies us against third-party claims, fines and reasonable legal costs arising from materials, data or instructions it provided, or from its products, offers and advertising claims, unless the claim was caused by our fault.
10 Intellectual property
10.1Exclusive rights to results created specifically for you (designs, layouts, code, texts, creatives) pass to you once the relevant stage or project has been paid in full. Until then, the results may be used for review and evaluation only.
10.2Together with the rights, we hand over the source files and materials listed in the contract.
10.3Our own pre-existing or independently developed assets (libraries, components, templates, scripts, internal tools, methods) remain ours. To the extent they form part of the result, you receive a perpetual, royalty-free, non-exclusive licence to use them strictly within your own project — without the right to extract them from the product, copy, replicate, sublicense or resell them to third parties.
10.4Open-source components and third-party materials (fonts, stock photos, plugins, services) are used under their own licences; paid licences are registered to you or charged as expenses (clause 5.2).
10.5We may mention our work together and show non-confidential results in our portfolio unless you object in writing or the contract or an NDA prohibits it.
11 Confidentiality
11.1Everything you tell us about your business — data, figures, plans, access credentials — is used only for the project and never disclosed to third parties, except contractors who need it for the work and are bound by the same obligations.
11.2On request, we sign a non-disclosure agreement (NDA) even before the brief.
11.3This obligation applies during our work together and for 1 year after it ends, unless the contract or NDA sets a different period. It does not cover information that is publicly available or that the law requires us to disclose. Confidentiality does not prevent us from using, in our further work, the general experience, know-how, ideas and technical solutions gained while working together.
11.4We process personal data in line with our Privacy Policy and, in client projects, also under a data processing agreement.
12 Results, platforms and AI
12.1All services — marketing, advertising, SEO and GEO, social media, development, automation and design — are provided on a best-efforts basis, without any express or implied guarantee of return on investment, sales, leads, conversions, traffic, rankings, visibility in AI answers, uninterrupted operation, merchantability or fitness for a particular commercial purpose. Outcomes depend on factors outside our control: the market, your product and prices, competitors, budgets and the algorithms of search engines and AI systems. Specific figures are binding only where the contract expressly sets them as guaranteed KPIs.
12.2Any decisions and actions of Google, Meta, TikTok, Telegram, app stores, hosting providers, domain registrars, AI providers and any other third-party platforms — moderation, ad and app rejections, shadow bans, account restrictions and suspensions, changes to rules, algorithms, prices or APIs, and outages — are entirely outside Veilvex’s responsibility and are not grounds for a refund or compensation. Help with such issues beyond the agreed scope is additional paid work.
12.3We are free to use AI-based tools and neural networks at any stage of the work — for research, copy, images, code and automation. We do not guarantee that a result will pass third-party AI-content detectors, and we are not responsible for outages, API changes, restrictions or decisions of third-party AI models and services.
13 Completion of acceptance and further support
13.1The result is reviewed strictly at the acceptance stage (section 7): the client raises all comments on it within the review period.
13.2Once a stage or project has been accepted — including automatically when the review period expires or when the client starts using the result — Veilvex’s obligations for that stage are deemed fully performed, and the result is delivered “as is”, without any warranties.
13.3Any later changes, fixes, updates, support and further development are carried out only for a separate fee or under a separate support contract, unless the individual contract expressly provides otherwise.
13.4We are not responsible for how the result works after changes made by the client or third parties, after misuse, or after updates to hosting, browsers, platforms, third-party components or services.
13.5To the extent the law allows, no claims are accepted in respect of an accepted stage or project; cases in which liability cannot be limited by law are governed by clause 14.4.
14 Limitation of liability
14.1To the extent permitted by law, our total liability arising out of or in connection with a contract, whether in contract, tort or otherwise, is limited to the fees you paid for the specific stage or service that gave rise to the claim during the 3 months before the event giving rise to it.
14.2We are not liable for indirect or consequential losses, lost profits, revenue or business opportunities, loss of goodwill, or loss or corruption of data, nor for the acts and omissions of platforms and third-party services.
14.3Where we breach an essential contractual obligation through slight negligence, our liability is limited to the foreseeable damage typical for this type of contract.
14.4None of these limitations applies to intent or gross negligence, fraud, injury to life, body or health, mandatory product liability, or any other case where the law does not allow liability to be limited or excluded.
15 Force majeure
15.1Neither party is liable for delays or non-performance caused by circumstances beyond its reasonable control: natural disasters, armed conflict, sanctions and other acts of government, large-scale failures of communications, power grids or cloud platforms, and attacks on providers’ infrastructure.
15.2A party affected by such circumstances informs the other without delay, and deadlines move for as long as they last. If they last longer than 30 days (or the period set in the contract), either party may terminate the contract; the work done up to that point is paid for.
16 Termination
16.1The contract may be terminated on the grounds and in the manner it provides. If the contract does not cover this, either party may terminate it with 14 days’ notice given by any of the means in section 18.
16.2Payments and refunds on termination follow section 6.
16.3Completed and paid-for results are handed over to you together with the rights to them (section 10).
16.4We may pause work or terminate the contract with immediate effect if payment is overdue by more than 14 days (or the period set in the contract), if the task would require breaking the law or platform rules, or if the client otherwise materially breaches the contract.
17 Governing law and disputes
17.1The governing law and the way disputes are resolved are set by the contract with the client. If the contract does not specify them, the law of the country where our contracting party is registered applies.
17.2We first try to settle any dispute by negotiation: send your claim by any of the means in section 18, and we will reply within 30 days. If we cannot agree, the dispute is heard by the courts at the place of registration of our contracting party, unless the contract provides otherwise.
18 Notices and language
18.1Correspondence in Telegram, WhatsApp and the project’s work chats between the contacts of the parties’ representatives has full legal force, on a par with email sent to the address published on this website or in your contract — including for agreeing the brief, additional work and estimates, handing over stages, accepting work, claims, cancellations, termination, refund requests and other formal notices. “In writing” in these terms includes such messages.
18.2A message is deemed received when it is delivered to the contact of the other party’s representative — as given in the contract, on the website or used in project correspondence. Each party is responsible for access to its own accounts and gives notice of any change of contacts. Requests about personal data can also be sent in the ways described in the Privacy Policy.
18.3These terms are published in English, Russian, Azerbaijani and German. English is the default language of this website: if the language versions differ, the English version prevails.
19 Changes to these terms
19.1We may update these terms. The current version and its date are published on this page.
19.2A signed contract is governed by the version in force on the date of signing, unless the parties agree in writing to switch to a newer one.
20 Contact
20.1We accept formal notices and project correspondence through any of these contacts (section 18): WhatsApp +994559939938, Telegram @veilvex_manager, and by email to the address published on this website or in your contract.
Formal notices, including under a contract, can be sent through any of these contacts or by email to the address published on this website or in your contract.
